Mesh Terms of Service

Welcome to Mesh! These Terms of Service (“Terms”) govern your use of Mesh’s services, including our website, mobile applications, and other related services (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use Mesh.
1. Key Definitions
- Mesh: Refers to the website, mobile app, and other related services that make up the Platform
- Scene Infrastructure Company or SIC: Refers to the company, its subsidiaries, and affiliates
- User: Any individual or entity accessing the Platform, including event organizers, ticket buyers, and other participants.
- Event Organizer: An individual or entity that creates, hosts, or promotes events listed on Mesh.
- Event: Any gathering, performance, or activity for which tickets or registrations are sold via Mesh.
- Ticket: Digital or physical proof of purchase granting admission to an Event.
- Fees: Any charges, including service fees, delivery fees, or other costs associated with using the Platform.
- Content: All data, text, graphics, logos, images, and other materials uploaded or displayed on the Platform.
2. Acceptance and Changes to the Terms
By accessing the Platform, you confirm that you are at least 18 years old and have the legal capacity to agree to these Terms. Mesh reserves the right to update these Terms at any time. We’ll notify you of significant changes through the Platform or other communication methods. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
3. Use of the Platform
3.1 Permitted Use:
You may use the Platform only for lawful purposes. You agree not to:
- Violate any applicable laws or regulations.
- Upload harmful, defamatory, or illegal content.
- Use the Platform to promote unauthorized events, spam, or fraudulent activities.
3.2 Prohibited Activities:
You must not:
- Interfere with the operation of the Platform.
- Attempt to gain unauthorized access to systems or data.
- Reverse-engineer or otherwise attempt to extract source code from the Platform.
4. Event Organizer Responsibilities
4.1 Event Listings:
Event Organizers must provide accurate and complete details about their events, including:
- Event name, date, location, and description.
- Pricing, capacity limits, and refund policies.
4.2 Compliance with Laws:
Event Organizers are solely responsible for ensuring their events comply with all applicable laws, including those related to safety, accessibility, and licensing.
4.3 Customer Support:
Organizers are responsible for addressing customer inquiries, disputes, and refund requests promptly.
4.4 Prohibited Events:
Mesh prohibits events that:
- Promote illegal activities, hate speech, violence, or discrimination.
- Violate intellectual property or other third-party rights.
5. Account Creation
5.1
To purchase tickets, you must create an account on Mesh by providing your phone number. We use Privy to secure your account. For more information on Privy’s terms of service, please visit: https://www.privy.io/user-terms-of-service
5.2
We reserve the right to suspend or terminate accounts that violate these Terms or are suspected of fraudulent activity.
6. Ticket Sales, Event Cancellations, and Refunds
6.1 Ticket Availability:
Tickets are sold on behalf of Event Organizers. Mesh does not guarantee ticket availability or accuracy of listings.
6.2 Ticket Sales:
Payments are processed securely through Stripe. We do not retain your payment data. By purchasing tickets, you agree to Stripe’s terms of service: https://stripe.com/legal/consumer
6.3 Ticket Delivery:
Tickets are delivered electronically unless otherwise specified. Users are responsible for ensuring the accuracy of contact details provided during purchase.
6.4 Refunds:
All sales are final. Tickets are non-refundable and cannot be returned except in the event that the event is canceled.
6.5 Cancellations:
If an event is canceled, you will be notified via SMS at the number associated with your account. Refunds for canceled events will be processed automatically to the original payment method within 14 business days from cancellation notice.
6.6 Rescheduling
We are not responsible for rescheduling or other changes made by Event Partners.
7. Fees and Payment
7.1 Fees Charged by Mesh:
Mesh may charge service fees, delivery fees, or other charges for using the Platform. These fees are disclosed during the checkout process.
7.2 Organizer Payments:
Event Organizers receive ticket proceeds less Mesh’s fees and applicable taxes.
7.3 Chargebacks and Disputes:
Mesh reserves the right to withhold or deduct funds to resolve chargebacks or disputes related to ticket sales.
8. Intellectual Property
8.1 Ownership:
All content, software, and technology on the Platform are owned by Mesh or its licensors. Users may not reproduce, distribute, or create derivative works without explicit permission.
8.2 User Content:
By uploading content to the Platform, you grant Mesh a royalty-free, worldwide, perpetual license to use, reproduce, and display your content for the purposes of operating the Platform.
8.3 Trademarks:
Mesh’s logos, names, and branding are trademarks of Mesh. Unauthorized use is prohibited.
9. Data Privacy
9.1 User Data:
Mesh collects and processes personal data in accordance with our Privacy Policy. Event Organizers are responsible for complying with applicable data privacy laws when handling customer data.
9.2 Marketing Consent:
Users may opt-in to receive marketing communications from Event Organizers separate from marketing communications from Mesh and/or notifications issued by Mesh on behalf of Event Organizers. Organizers must honor opt-out requests promptly.
10. Limitation of Liability
10.1 Event Quality Disclaimer:
We are not responsible for the quality of the event, including the sound, view, or any other aspect of the experience provided by the Event Partner.
10.2 No Warranty For Services:
We disclaim all warranties related to the Services, including the functionality or availability of the website and QR codes.
10.3 Liability Limitation:
Our liability is limited to the price of the ticket purchased.
11. Indemnification
You agree to indemnify and hold harmless Mesh and its affiliates from any claims, damages, or expenses arising out of your:
- Use of the Platform.
- Violation of these Terms or applicable laws.
- Misrepresentation of your event or activities.
12. Termination
12.1 Mesh reserves the right to suspend or terminate your access to the Platform for:
- Breaching these Terms.
- Engaging in fraudulent or illegal activities.
- Causing harm to Mesh, its users, or its reputation.
Upon termination, your right to use the Platform ends immediately.
13. Dispute Resolution
13.1 Governing Law:
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
13.2 Arbitration:
Disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in New York, and each party will bear its own legal costs.
14. Miscellaneous
Force Majeure: Mesh is not liable for delays or failures caused by events beyond its reasonable control.
No Waiver: Failure to enforce any part of these Terms does not constitute a waiver.
Severability: If any part of these Terms is found invalid, the remaining sections remain enforceable.
